Questions
Can't find what you need? Email support@sabrsoftware.com and a person answers. Sources: Form D filings with the U.S. Securities and Exchange Commission (EDGAR).
Where does the data come from?
From Form D filings with the U.S. Securities and Exchange Commission. Every weekday morning we read EDGAR's daily index of the previous day's filings and each new Form D itself. Every row links to the filing on SEC.gov.
What is a Form D, and what isn't it?
A Form D is a short notice a company files when it sells securities without registering them, under an exemption such as Rule 506(b) or 506(c). It's due within 15 days of the first sale. It is a notice, not an approval: the SEC doesn't review it, and it isn't proof the money was raised in full. The amount offered is the company's target; the amount sold is what it reported as sold when it filed, and the offering may still be open.
Why are funds and real-estate deals left out?
72% of new Form D notices come from pooled investment funds, SPVs and real-estate syndications. They're investment vehicles, not companies with staff, customers and payroll, so we drop them (and amendments to earlier notices). What's left is operating companies.
Do you include people's names?
No. A Form D lists the company's executives, directors and promoters; we never include them. You get the company's name, city, state and ZIP, its phone number as filed, the filing's figures and a link to it. Placement agents appear only as firm names. Street addresses are left out, since a young company's address is often a founder's home.
What does “First Form D” mean?
The company was incorporated within the last five years and we haven't seen an earlier Form D or amendment from it in EDGAR's daily indexes since we started reading them (the date is in each row). It's a strong sign of an early round, not a guarantee: a company may have filed before that date.
How fresh is it?
EDGAR publishes each day's filings that evening. Your email arrives the next weekday morning, so a company appears one business day after it files.
What do the industries cover?
We group the SEC's own industry categories: Technology (computers, telecom, other technology); Health care & biotech; Energy & environment (oil and gas, utilities, energy conservation, environmental services); Consumer, retail & travel (retail, restaurants, lodging, travel); Financial services (banks, insurers, investment banks, other financial companies); Industrial & business services (manufacturing, construction, business services, agriculture); and Other, which the company chose itself.
Is this affiliated with the SEC?
No. Form D filings are public on the SEC's EDGAR system; we read and organise them. The SEC doesn't endorse us or the companies in the data, and an exempt offering isn't SEC-approved. If you're an investment adviser or broker-dealer, your outreach follows your own rules, such as the SEC Marketing Rule and FINRA's communications rules.
Can I use the data for screening or credit decisions?
No. We aren't a consumer reporting agency, and the data can't be used for credit, insurance, employment or housing decisions about anyone.
How do I cancel?
Anytime, from the customer portal link in every email. Cancellation takes effect at the end of the month you've paid for.
